What is the Difference between a Member and Manager in an LLC?

The Limited Liability Company can be Member Managed or Manager Managed. Essentially this means that if the entity is member managed, then any member can make decision to bind the company. If it is manager managed, then only the manager(s) can make decisions to bind the company.
